TERMS OF SERVICE

1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) govern your access to and use of the website, software platform, applications, tools, dashboards, communication systems, and related services offered under the brand name Dizibook (collectively, the “Services”).

Dizibook is a business software platform operated by Dizignate LLC, a limited liability company registered in the State of Wyoming, United States of America (“Company,” “we,” “us,” or “our”).

By accessing, registering for, subscribing to, or using the Services in any manner, you (“Customer,” “User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Billing & Pricing Disclosure, Refund & Cancellation Policy, Data Security Policy, and Cookie Policy.

If you do not agree to these Terms, you must not access or use the Services.


2. ELIGIBILITY AND BUSINESS USE

2.1 Age Requirement

You must be at least 18 years of age to use the Services.

By using the Services, you represent and warrant that you meet this requirement.

2.2 Business and Professional Use Only

The Services are intended strictly for business and professional use, including but not limited to real estate agents, brokers, teams, and other lawful businesses.

You represent that you are using the Services:

  • In a lawful business capacity

  • For legitimate commercial purposes

  • In compliance with all applicable laws and regulations

The Services are not intended for personal, household, or consumer use.


3. DESCRIPTION OF SERVICES

Dizibook provides a software-as-a-service (SaaS) platform designed to help businesses manage contacts, leads, communications, automation, scheduling, and related operational workflows.

Depending on your selected plan and configuration, the Services may include:

  • CRM and contact management

  • Lead capture via forms and landing pages

  • Automation workflows and follow-ups

  • Appointment scheduling and reminders

  • SMS messaging functionality

  • Email communication tools

  • Voice calling and call tracking

  • Call recording (if enabled by the Customer)

  • Reporting and analytics dashboards

  • Optional add-ons and enhancements

The specific features available to you depend on your subscription plan, add-ons, and usage.


4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access the Services, you must create an account and provide accurate, complete, and current information.

You agree to keep your account information updated at all times.

4.2 Credentials and Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

You must immediately notify us of any unauthorized access, security breach, or misuse of your account.


5. PLATFORM ROLE AND CUSTOMER RESPONSIBILITY

Dizibook provides the technology platform only.

You retain full responsibility and control over:

  • Contacts entered into the system

  • Message content

  • Campaign configuration

  • Communication timing and recipients

  • Compliance with applicable laws

Dizibook does not determine:

  • Who you contact

  • What messages you send

  • When messages are sent

The platform executes actions based solely on your configuration and instructions.


6. ACCEPTABLE USE POLICY

You agree not to use the Services to:

  • Violate any local, state, federal, or international law

  • Send unlawful, misleading, deceptive, or abusive communications

  • Transmit spam or unsolicited messages

  • Harass, threaten, or harm individuals

  • Misrepresent your identity or business

  • Interfere with platform security or integrity

  • Circumvent opt-out mechanisms

We reserve the right to suspend or terminate access for violations.


7. SMS, EMAIL, AND VOICE COMMUNICATION COMPLIANCE

(A2P 10DLC–Critical Section)

7.1 Consent Requirement

You are solely responsible for obtaining clear, explicit, and documented consent from recipients before sending SMS messages, emails, or making calls using the Services.

Consent must be obtained before communication begins and must clearly disclose:

  • The type of messages recipients will receive

  • The business purpose of the messages

  • How recipients can opt out at any time


8. TYPES OF MESSAGES RECIPIENTS MAY RECEIVE

(Required for A2P approval)

By using the Services, you acknowledge that individuals who opt in to receive communications from you may receive messages including, but not limited to:

  • Appointment confirmations and reminders

  • Follow-up messages related to inquiries or requests

  • Responses to inbound questions or conversations

  • Business-related notifications or updates

  • Service-related messages connected to your offerings

Messages are sent only when the recipient has provided consent and are related to the business purpose disclosed at the time of opt-in.

Dizibook does not create message content and does not select message recipients.


9. SMS OPT-OUT / UNSUBSCRIBE INSTRUCTIONS

(Required for A2P approval)

Recipients may opt out of SMS communications at any time by replying with any of the following keywords:

STOP
UNSUBSCRIBE
END

Upon receiving an opt-out request:

  • Messaging to that phone number must stop

  • The opt-out status must be respected across all messaging campaigns

  • You must not attempt to override or bypass the opt-out

Customers are required to include opt-out instructions in their opt-in disclosures and messaging content.


10. MESSAGE AND DATA RATES

(Required for A2P approval)

Message and data rates may apply depending on the recipient’s mobile carrier, mobile plan, and location.

Dizibook is not responsible for carrier-imposed charges incurred by message recipients.


11. NO PLATFORM-INITIATED MESSAGING

Dizibook does not initiate marketing, promotional, or transactional messages to your contacts.

All communications are initiated, configured, and controlled by you.


12. NO GUARANTEE OF MESSAGE DELIVERY

Message delivery, call completion, and carrier approval are not guaranteed.

Messages may be delayed, filtered, or blocked by carriers due to:

  • Carrier policies

  • Network conditions

  • Compliance requirements

Such behavior is outside our control.


13. SUBSCRIPTIONS, BILLING, AND PAYMENTS

13.1 Subscription Fees

Subscription fees are billed in advance based on your selected plan.

13.2 Usage-Based Charges

Certain Services are billed based on usage, including:

  • SMS messages

  • Emails

  • Voice calls

  • Call recordings

You are responsible for maintaining sufficient account balance.


14. FREE TRIALS, CANCELLATION, AND REFUNDS

14.1 Free Trial

A free trial may be offered for evaluation purposes only.

14.2 No Refunds After Payment

Once a paid subscription begins, fees are non-refundable, except where required by law.

14.3 Cancellation

You may cancel your subscription at any time.
Cancellation takes effect at the end of the current billing cycle.


15. ADD-ONS AND OPTIONAL FEATURES

Optional add-ons are billed separately.

Charges for add-ons are non-refundable once billed.


16. DATA PRIVACY AND SECURITY

Our collection and handling of information is governed by our Privacy Policy, which forms part of these Terms.

You are responsible for ensuring lawful collection and use of data entered into the platform.


17. INTELLECTUAL PROPERTY

All software, platform design, and branding are the property of Dizignate LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.


18. NO GUARANTEE OF RESULTS

You acknowledge and agree that:

  • Business outcomes vary

  • No specific leads, sales, or revenue are guaranteed

  • The Services provide tools only


19. DISCLAIMER OF WARRANTIES

The Services are provided “as is” and “as available.”

We disclaim all warranties to the maximum extent permitted by law.


20. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential damages

  • Total liability is limited to the amount paid in the three (3) months preceding the claim


21. INDEMNIFICATION

You agree to indemnify and hold Dizignate LLC harmless from claims arising from:

  • Your use of the Services

  • Your communications with recipients

  • Your violation of laws or regulations


22. SUSPENSION AND TERMINATION

We may suspend or terminate access if:

  • These Terms are violated

  • Required by law or regulation

  • Continued use poses risk


23. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Wyoming, United States.

All disputes shall be resolved exclusively in Wyoming courts.


24. MODIFICATIONS TO TERMS

We may update these Terms from time to time.

Continued use of the Services constitutes acceptance of the updated Terms.
