These Terms of Service ("Terms") govern your access to and use of the website, software platform, applications, tools, dashboards, communication systems, and related services offered under the brand name Dizibook (collectively, the "Services").
Dizibook is a business software platform operated by Dizignate LLC, a limited liability company registered in the State of Wyoming, United States of America (registered office: 30 N Gould St, Ste R, Sheridan, WY 82801, USA) ("Company," "we," "us," or "our"). Operations and customer support are partly delivered by team members located in India.
By accessing, registering for, subscribing to, or using the Services in any manner, you ("Customer," "User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Billing & Pricing Disclosure, Refund & Cancellation Policy, Data Security Policy, and Cookie Policy.
If you do not agree to these Terms, you must not access or use the Services.
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement.
The Services are intended strictly for business and professional use, including but not limited to small business owners, service-based businesses (such as plumbers, HVAC contractors, electricians, roofers, real estate agents, mortgage brokers, insurance agents, salons, gyms, coaches, and other lawful businesses), and similar commercial users.
You represent that you are using the Services:

Dizibook provides a software-as-a-service (SaaS) platform designed to help businesses capture leads, manage contacts, communicate with customers, automate workflows, schedule appointments, and grow revenue.
Depending on your selected plan and configuration, the Services may include:
The specific features available to you depend on your subscription plan, add-ons, and usage. We reserve the right to add, modify, or remove features at our discretion.
To access the Services, you must create an account and provide accurate, complete, and current information. You agree to keep your account information updated at all times.
You are responsible for:
We are not liable for any loss or damage arising from your failure to comply with these obligations.
You retain all ownership rights in the data you upload, enter, or generate through the Services ("Customer Data"), including contacts, messages, leads, call recordings, AI Employee conversation logs, and reporting data.
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Data solely for the purpose of providing the Services to you. This license terminates when your Customer Data is deleted from our systems in accordance with the Privacy Policy.
You may export your Customer Data at any time through the platform's standard export tools or by request. Upon cancellation of your account, you have a reasonable wind-down period (typically 30–60 days) to export your data before it is deleted, subject to legal retention requirements.
Dizibook provides the technology platform only.
You retain full responsibility and control over:
Dizibook does not determine who you contact, what messages you send, when messages are sent, or how the AI Employee responds — except to execute actions based on your configuration and instructions.
You agree not to use the Services to:
We reserve the right to suspend or terminate access for violations of this policy, with or without notice.
The Services may not be used for, or to promote, any of the following industries or activities (collectively, "Prohibited Use Cases") without our prior written consent:
We reserve the right to refuse service, suspend accounts, or terminate access at our sole discretion for any actual or suspected use of the Services in connection with a Prohibited Use Case. This list is not exhaustive and may be updated from time to time.
You are solely responsible for obtaining clear, explicit, and documented consent from recipients before sending SMS messages, marketing emails, or making outbound calls using the Services.

Messages are sent only when the recipient has provided consent and are related to the business purpose disclosed at the time of opt-in. Dizibook does not create message content and does not select message recipients.
Recipients may opt out of SMS communications at any time by replying with any of the following keywords:
Upon receiving an opt-out request:
Customers are required to include opt-out instructions (e.g., "Reply STOP to unsubscribe") in their messaging content and opt-in disclosures, as required by carrier policies and the TCPA.
Message and data rates may apply depending on the recipient's mobile carrier, mobile plan, and location. Dizibook is not responsible for carrier-imposed charges incurred by message recipients.
Dizibook does not initiate marketing, promotional, or transactional messages to your contacts on its own behalf. All communications are initiated, configured, and controlled by you. Transactional messages from Dizibook (such as account notifications, billing alerts, or security warnings) are sent only to you, the account holder.
Message delivery, call completion, and carrier approval are not guaranteed. Messages may be delayed, filtered, or blocked by carriers due to:
Such behavior is outside our control. Dizibook is not liable for messages that are blocked, delayed, or undelivered.
Subscription fees are billed in advance based on your selected plan. Current pricing is published on our Pricing page and in our Billing & Pricing Disclosure.
Certain Services are billed based on usage, including:
You are responsible for maintaining sufficient account balance or wallet credit to cover usage charges. If your balance is exhausted, usage-based features may be temporarily disabled until you top up.
All payments are processed by Stripe. Dizibook does not store full credit card numbers. By providing payment information, you authorize Dizibook and Stripe to charge your payment method for all applicable fees.
We may change pricing at any time. Price increases will be communicated to you with at least thirty (30) days' written notice (typically by email to the account administrator). If you do not agree to a price increase, you may cancel before the new pricing takes effect.
If a payment fails, we may retry the charge for up to seven (7) days. If payment continues to fail, we may suspend or terminate your account. You remain responsible for any unpaid fees.
All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, GST, or similar taxes imposed on the Services in your jurisdiction.
To request a refund under the money-back guarantee:
Eligible refunds will be processed to your original payment method within 5–10 business days.
The following are non-refundable, regardless of the date of cancellation:
You may cancel your subscription at any time through your account dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing cycle. After cancellation:
We reserve the right to deny refund requests where there is evidence of abuse, including but not limited to: repeated refund-and-resubscribe patterns, terms-of-service violations, fraudulent activity, or use of the Services in connection with a Prohibited Use Case (Section 8).
Optional add-ons (such as additional users, premium features, integrations, or higher usage tiers) are billed separately and may have their own terms. Charges for add-ons follow the same money-back guarantee rules in Section 16 unless explicitly noted otherwise at the time of purchase.
If you subscribe to Dizibook's Ads Management add-on, the following additional terms apply:
Ad accounts created on your behalf, including Meta Business Manager assets, Google Ads accounts, pixels, and audiences, remain your property. Upon cancellation, you retain access to all such accounts.
Dizibook does not guarantee specific lead volume, cost-per-lead, click-through rate, conversion rate, or revenue outcomes from advertising campaigns. Ad performance depends on many factors outside our control, including market conditions, competition, ad network algorithms, your offer, and your sales process. See Section 21 (No Guarantee of Results).
The Ads Management first-month service fee is eligible for refund within 30 days of initial billing under the money-back guarantee in Section 16.
The Ads Management one-time setup fee is non-refundable, because the setup work (ad account creation, pixel installation, audience configuration, campaign structure, and initial creative production) is performed within the first 24–48 hours of engagement and cannot be reversed. You retain full ownership of all setup assets even if you cancel — see Section 18.2.
Advertising spend already paid to ad networks (Meta, Google, etc.) is not refundable by Dizibook — refunds for ad spend, if any, are governed by the ad network's policies.
Our collection and handling of information is governed by our Privacy Policy, which forms part of these Terms. You are responsible for ensuring lawful collection and use of data entered into the platform, including obtaining all required consents from data subjects.
For Customers requiring a Data Processing Addendum (DPA), one is available upon request to [email protected].
All software, platform design, source code, trademarks, logos, brand elements, and content created by or on behalf of Dizignate LLC are the exclusive property of Dizignate LLC and its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your active subscription term, solely for your internal business purposes. This license terminates immediately upon cancellation, suspension, or termination of your account.

The Services are provided "as is" and "as available," without warranties of any kind, either express or implied. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our warranties are limited to the minimum extent permitted by law.
To the maximum extent permitted by applicable law:
This limitation applies regardless of the legal theory of recovery (contract, tort, negligence, strict liability, or otherwise).
You agree to indemnify, defend, and hold harmless Dizignate LLC, its officers, directors, employees, contractors, and affiliates from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
We may suspend or terminate your access to the Services, with or without notice, if:
Upon termination, your license to use the Services ends immediately. You are responsible for all fees accrued before termination. Sections that by their nature should survive termination (including IP, indemnification, limitation of liability, and governing law) will survive.
We are not liable for any delay or failure to perform our obligations under these Terms when caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, internet or telecommunications failures, third-party service outages (including the underlying SaaS infrastructure provider), or labor disputes.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
Each party waives any right to a jury trial. Any claim must be brought within one (1) year of the event giving rise to the claim, or it will be permanently barred.
We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors. Material changes will be communicated via the platform or by email to account administrators where reasonably possible. The "Last updated" date at the top of these Terms reflects the most recent revision.
Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
These Terms, together with our Privacy Policy, Refund Policy, Billing & Pricing Disclosure, Data Security Policy, and Cookie Policy, constitute the entire agreement between you and Dizignate LLC regarding the Services, and supersede all prior agreements.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other corporate transaction.
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Notices to you may be sent to the email address associated with your account. Notices to us must be sent to [email protected] with a copy to the mailing address in Section 30.
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Dizignate LLC.
