01Definitions
In this Agreement:
- "Dizibook," "we," "us," or "our" means Dizignate LLC, a Wyoming limited liability company with its registered office at 30 N Gould St, Ste R, Sheridan, WY 82801, USA, operating under the brand "Dizibook."
- "Affiliate," "you," or "your" means the individual or entity that has been approved to participate in the Dizibook Affiliate Program.
- "Program" means the Dizibook Affiliate Program described in this Agreement.
- "Tracking Link" means the unique URL provided to you by Dizibook that identifies referrals to you.
- "Referred Customer" means a customer who signs up for a Dizibook subscription through your Tracking Link within the attribution window described in Section 5.
- "Qualified Sale" means a Referred Customer who has both (a) cleared the 30-day money-back guarantee window and (b) for monthly plans, paid their second monthly invoice. See Section 3.
- "Commission" means the amount payable to you under this Agreement.
- "Services" means Dizibook's CRM, AI Employee, and Ads Management products available on the dizibook.com website.
02Eligibility & Approval
To participate in the Program, you must:
- Be at least 18 years of age and have full legal capacity to enter into binding contracts;
- Submit a complete affiliate application via the form at dizibook.com/affiliate;
- Be approved by Dizibook in our sole discretion;
- Have a valid PayPal account or a bank account capable of receiving USD wire transfers;
- Not be a resident or citizen of any jurisdiction subject to US sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Crimea, Donetsk, and Luhansk;
- Comply with all applicable laws in your jurisdiction governing affiliate marketing, including disclosure requirements.
Approval typically takes up to 48 business hours. We reserve the right to reject any application without cause. If approved, you will receive login credentials to your affiliate dashboard and a unique Tracking Link.
03Commission Structure
Commission is calculated as a percentage of the Referred Customer's subscription payments only. Setup fees, wallet credits, A2P 10DLC registration fees, advertising spend (paid directly to Meta, Google, or other ad networks), and third-party charges are excluded from Commission calculations.
3.1 Commission rates

3.2 Qualified Sale (when Commission becomes earned)
Commission only becomes earned and payable when the Referred Customer becomes a Qualified Sale:
- Monthly billing: The Referred Customer has (a) cleared the 30-day money-back guarantee window AND (b) paid their second monthly subscription invoice.
- Annual billing: The Referred Customer has cleared the 30-day money-back guarantee window.
3.3 Examples
For illustration only:
- Referred Customer signs up for Growth Monthly ($597/mo): If they remain a customer past day 30 and pay month 2, you earn $119.40 (20% × $597) for month 1, plus $59.70/month recurring for as long as they remain on the plan.
- Referred Customer signs up for Scale Annual ($14,970/yr): If they remain a customer past day 30, you earn $2,994 (20% × $14,970) as a lump-sum Commission. When they renew in Year 2, you earn 10% of whatever amount they pay (monthly or annual).
3.4 Plan changes
If a Referred Customer upgrades or downgrades (e.g., Growth to Scale, monthly to annual), Commission adjusts to the new subscription rate from the date of the change forward. Past Commissions are not retroactively adjusted.
3.5 Exclusions
Commission is NOT payable on:
- One-time setup fees (e.g., Scale $999 setup)
- Wallet recharge amounts or usage charges (SMS, email, voice, phone numbers)
- Ad spend paid by the customer to Meta, Google, or other ad networks
- A2P 10DLC registration or carrier fees
- Third-party purchases through the platform (domains, templates, integrations)
- Customers acquired through other channels who later switch to your Tracking Link
- Customers who used a coupon code, promotional offer, or referral program that explicitly excludes affiliate commission
04Payment Terms
4.1 Payment schedule
Earned Commissions are aggregated monthly and paid on the 1st of each calendar month, covering all Commissions earned through the end of the previous month.
4.2 Minimum payout threshold
The minimum payout is $100 USD. If your earned balance is below $100 at month-end, the balance rolls over to the next month and continues to accumulate until the threshold is reached.
4.3 Payment methods
Commission is paid in USD via one of the following methods, selected by you in your affiliate dashboard:
- PayPal: Paid to your verified PayPal account. PayPal fees, if any, are borne by you.
- Bank Transfer (wire/SWIFT): Paid to your bank account. Any wire transfer fees, intermediary bank fees, or currency conversion fees applied by your bank are borne by you.
For Bank Transfer, you must provide accurate bank details (account name, account number, IBAN/routing, SWIFT/BIC, bank name, and address). Inaccurate details that cause a failed transfer may result in a re-issue fee of up to $25, deducted from your balance.
4.4 Currency & conversion
All Commissions are calculated and paid in USD. If the Referred Customer's payment was made in a different currency, we convert to USD using the rate in effect on the date the customer's payment cleared, before applying the Commission percentage. Currency conversion fees applied by your payment provider are not reimbursable.
4.5 Disputes
If you believe a Commission has been miscalculated or omitted, contact [email protected] within 60 days of the alleged transaction. Disputes raised after 60 days will not be considered.
05Tracking & Attribution
5.1 Cookie / attribution window
When a visitor clicks your Tracking Link, a cookie is placed on their browser identifying them as a referral from you. The cookie has a 365-day duration. If the visitor signs up for a Dizibook paid subscription within 365 days of their last click, the sale is attributed to you.
5.2 Last-click attribution
Where a visitor clicks multiple affiliate links from different affiliates within the 365-day window, attribution goes to the most recent affiliate clicked before signup.
5.3 Tracking limitations
You acknowledge that cookie-based tracking has technical limitations and may fail in circumstances outside Dizibook's control, including:
- The visitor uses an incognito/private browsing window
- The visitor manually deletes cookies or has cookies disabled
- The visitor uses a browser, extension, or VPN that blocks third-party cookies
- The visitor signs up using a different device than they clicked your link on
- The visitor uses an ad blocker that blocks attribution scripts
Dizibook is not responsible for Commission loss resulting from tracking failures caused by such circumstances.
5.4 Disclosure requirements
Where required by applicable law (including but not limited to FTC guidelines in the US), you must clearly disclose your affiliate relationship with Dizibook in any promotional content. Recommended disclosures: "I'm a Dizibook affiliate. I earn a commission if you sign up using my link." or equivalent.
06Marketing Rules
You may promote Dizibook through any lawful channel, subject to the following rules:
You MAY
- Promote on your personal or business website, blog, YouTube channel, podcast, or social media
- Send promotional emails to your own opt-in subscriber lists
- Make outbound sales calls to prospects (subject to local TCPA/DNC laws)
- Run paid advertising on Meta, Google, LinkedIn, etc. (subject to restrictions in Section 7)
- Use Dizibook-approved marketing assets (logos, screenshots, demo videos)
- Create your own original content discussing or reviewing Dizibook
- Run webinars, demos, or content educating prospects about Dizibook
- Mention your affiliate relationship transparently in pitches
You MAY NOT
- Bid on "Dizibook" or any Dizibook trademarks/variants in paid search (Google Ads, Bing Ads, etc.)
- Use "dizibook.com" or any variant as a display URL or landing page URL in paid ads
- Register domains containing "Dizibook" or confusingly similar names
- Pose as Dizibook, our employees, or our official representatives
- Misrepresent Dizibook's pricing, features, refund policy, or guarantees
- Promote Dizibook on platforms or in industries listed in Section 7
- Send unsolicited bulk email (spam) or SMS
- Use cookie-stuffing, click fraud, or any deceptive tracking methods
- Modify or alter Dizibook's logos, screenshots, or other brand assets
- Offer cash rebates, gift cards, or other inducements to customers using your Tracking Link
07Prohibited Activities & Industries
7.1 Prohibited promotion methods
You agree NOT to engage in any of the following:
- Spam: Sending unsolicited bulk email, SMS, or other messaging in violation of CAN-SPAM, GDPR, TCPA, DNC, or other applicable laws.
- Cookie stuffing: Forcing visitors' browsers to load your Tracking Link without them clicking it.
- Click fraud: Generating fake clicks, fake signups, or self-clicks to manipulate tracking.
- Misleading claims: Implying earnings guarantees, false testimonials, fake reviews, or unsubstantiated income claims.
- Brand bidding: Running paid ads targeting Dizibook trademarks, brand variants, or our employees' names.
- Squatting: Registering domains, social media handles, or business names containing "Dizibook" or confusingly similar terms.
- Phishing or fraud: Creating fake login pages, impersonation, or attempts to harvest customer credentials.
7.2 Prohibited industries
You may not promote Dizibook to or within the following industries (these mirror Dizibook's prohibited customer industries):
- Adult content, escort services, or any sexually explicit content
- Multi-level marketing (MLM), pyramid schemes, get-rich-quick programs
- Gambling, sports betting, lotteries (where not legally licensed)
- Firearms, ammunition, weapons, or related accessories
- Tobacco, vaping, e-cigarettes, or cannabis (in jurisdictions where federally illegal)
- Hate speech, white supremacist, or extremist content
- Payday lending, debt collection, credit repair (without proper licensing)
- Illegal pharmaceuticals or controlled substances
- Cryptocurrency speculation or "pump and dump" schemes
08Intellectual Property
8.1 License to use brand assets
During the term of this Agreement, Dizibook grants you a limited, non-exclusive, non-transferable, revocable license to use the Dizibook name, logo, screenshots, and approved marketing materials solely for the purpose of promoting Dizibook to potential customers under this Agreement.
8.2 Restrictions
You may not:
- Modify, alter, or create derivative works of Dizibook's brand assets without prior written consent
- Use Dizibook's name, logo, or marks in a way that implies endorsement of unrelated products or services
- File trademark applications for Dizibook marks or confusingly similar marks
- Continue using Dizibook's brand assets after termination of this Agreement
8.3 Your content
You retain ownership of original content you create to promote Dizibook (e.g., blog posts, videos). However, you grant Dizibook a perpetual, royalty-free license to use, display, and share content tagging or featuring Dizibook for our own marketing purposes, with attribution to you.
09Confidentiality
You may receive non-public information about Dizibook's products, customers, pricing, internal tools, and business operations during the term of this Agreement ("Confidential Information"). You agree to:
- Maintain the confidentiality of Confidential Information using at least the same degree of care you use for your own confidential information (and no less than reasonable care);
- Use Confidential Information solely for the purpose of fulfilling your obligations under this Agreement;
- Not disclose Confidential Information to any third party without our prior written consent;
- Return or destroy all Confidential Information upon termination of this Agreement.
Confidential Information does not include information that is publicly available, was already known to you, was independently developed, or is required to be disclosed by law (provided you give Dizibook advance notice where legally permitted).
10Termination
10.1 Termination by either party
Either party may terminate this Agreement at any time, with or without cause, by providing 30 days' written notice to the other party. Notice to Dizibook should be sent to [email protected].
10.2 Immediate termination by Dizibook
Dizibook may terminate this Agreement immediately and without notice if you:
- Materially breach any provision of this Agreement
- Engage in prohibited activities (Sections 6 or 7)
- Engage in fraud, misrepresentation, or other unlawful conduct
- Damage Dizibook's reputation through your conduct or marketing
- Bring legal action against Dizibook unrelated to enforcing this Agreement
- Become insolvent, file for bankruptcy, or assign rights to a creditor
10.3 Effects of termination
- Your Tracking Link is deactivated immediately upon termination
- You must cease all use of Dizibook brand assets
- Confidential Information must be returned or destroyed
- Earned but unpaid Commissions: Paid out per the normal schedule (1st of next month, subject to $100 threshold), provided termination was not for cause under Section 10.2. If termination was for cause due to a material breach, all unpaid Commissions are forfeited.
- Recurring Commissions: Cease immediately upon termination. You will not receive Commission on renewals of previously Referred Customers after the termination date.
- Pending Commissions (not yet a Qualified Sale): Forfeited.
11Independent Contractor
You and Dizibook are independent contractors. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency, or franchise between us. You have no authority to bind Dizibook, make commitments on Dizibook's behalf, or represent yourself as a Dizibook employee or official representative.
You are responsible for your own equipment, expenses, business operations, insurance, and tax obligations.
12Taxes
You are solely responsible for all taxes arising from Commissions received under this Agreement, including income tax, GST/VAT, professional tax, and any other applicable taxes in your jurisdiction.
Dizibook does not withhold taxes from Commission payments unless required by applicable law.
12.1 US-based affiliates
If you are a US person or US business and your annual Commission exceeds $600, Dizibook will issue an IRS Form 1099-NEC (or successor form). You must complete a W-9 form before any Commission is paid.
12.2 Non-US affiliates
If you are based outside the United States, you must complete a W-8BEN (individuals) or W-8BEN-E (entities) form before any Commission is paid. This certifies your non-US tax residency and may exempt your earnings from US tax withholding.
13Disclaimers & Limitation of Liability
13.1 No earnings guarantee
Dizibook makes no representation, warranty, or guarantee about the amount of Commission you may earn under this Agreement. The earnings projections shown on the affiliate landing page are illustrative only and depend entirely on your sales effort, customer mix, retention rates, and market conditions. You may earn nothing.
13.2 Services provided "as is"
The affiliate program, Tracking Links, dashboard, and all related tools are provided "as is" without warranties of any kind. Dizibook does not warrant that the program will be uninterrupted, error-free, or that tracking will be 100% accurate.
13.3 Limitation of liability
To the maximum extent permitted by law, Dizibook's total cumulative liability to you under this Agreement is limited to the total Commission earned by you in the 3 months preceding the event giving rise to the claim.
Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility.
14Indemnification
You agree to indemnify, defend, and hold harmless Dizibook, Dizignate LLC, and our officers, directors, employees, and agents from any third-party claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your breach of this Agreement
- Your promotional activities, including content you create or distribute
- Your violation of any applicable law (including spam, privacy, advertising, or tax laws)
- Your infringement of any third party's intellectual property, privacy, or other rights
- Any tax liabilities arising from Commissions paid to you
15Modifications
Dizibook reserves the right to modify this Agreement at any time. We will provide notice of material changes by:
- Email to the address on file in your affiliate dashboard;
- A prominent notice in the affiliate dashboard;
- Updating the "Last Updated" date at the top of this Agreement.
Material changes take effect 30 days after notice. Your continued participation in the Program after the effective date constitutes your acceptance of the modified terms. If you do not agree, you may terminate per Section 10.1.
Changes to Commission rates only apply to Commissions earned after the change effective date — existing earned Commissions are not retroactively affected.
16Governing Law & Disputes
16.1 Governing law
This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles.
16.2 Disputes
Any dispute, claim, or controversy arising from or relating to this Agreement that cannot be resolved through good-faith negotiation will be resolved through binding arbitration administered by JAMS (or its successor) in accordance with the JAMS Streamlined Arbitration Rules.
Arbitration will be conducted in English, online or by telephone where practicable, with each party bearing their own costs except as awarded by the arbitrator. The arbitrator's decision is final and binding.
16.3 Class action waiver
You agree that any dispute will be brought on an individual basis only, not as a class action or representative proceeding.
16.4 Injunctive relief
Notwithstanding the arbitration clause, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
